Terms of Service
These terms will govern your use of Magasaka. We publish them now so you can see exactly what you're signing up for — they take effect when the marketplace opens.
1. Who we are
Magasaka ("Magasaka", "we", "us") is operated by Magasaka LLC, a Delaware (USA) limited liability company. Magasaka is a two-sided marketplace that connects Filipino talent with clients worldwide, and provides the tools that make an engagement work: discovery and matching, applications, contracts, on-platform payments, messaging, work management, reviews and dispute handling.
Our contracting entity details are finalised on incorporation; the final version of these terms names the operating entity, its registered address and its contact details.
2. Eligibility
- Talent: Filipino citizens, including dual citizens, residing in the Philippines, aged 18 or older.
- Clients: individuals and companies located in the countries published as supported at launch.
- You must be 18 or older, and you must provide accurate information about yourself.
3. Your account
Accounts are personal and non-transferable. You are responsible for everything done through your account and for keeping your credentials and devices secure. You agree to keep your profile information accurate — including your skills, experience level and location, since these affect matching and eligibility.
Verification. We verify users before they take part in funded work, and we may ask for more information where the law or our risk controls require it: identity checks for Verified Talent, business and ownership details for client accounts, and payment-method checks before a job can go live. We screen against sanctions and fraud signals, and we keep monitoring accounts after they are approved. Accounts that fail a check, or that refuse one, can't transact on the platform. We do not publish how our checks work in detail, because that would help people evade them.
4. How the marketplace works
- Jobs and applications. Clients publish jobs that pass our publication and rate-floor checks. Talent applies; applying costs a small number of Seeds.
- Seeds. Talent receives free Seeds on a weekly schedule (more as their performance rank grows) plus a daily harvest. Seeds are not for sale during the MVP, and spent application Seeds are returned if a client never responds.
- Contracts. Engagements run through platform contracts in three contract types: fixed-price, hourly and recurring. Signing, funding and activation are separate, sequential steps.
- Communication. Contract-related communication stays on-platform so both sides have the same record.
- Reviews and ranks. Reviews follow the published rules; we act on fake reviews, retaliation and manipulation.
5. Fees and payments
- Clients subscribe to a plan — Open ($0/month), Pro ($79/month) or Scale ($199/month) — and pay a platform and payment-protection fee of 10%, 7% or 4% respectively, stepping down to 1.5% above a per-talent monthly threshold. Payment processing is passed through at cost and itemized. See Pricing.
- Talent pays 0% platform fee during the MVP and keeps 100% of contract earnings. Payout-method and currency-conversion costs, where any apply, are shown before withdrawal.
- Taxes are each party's own responsibility. We may collect tax information where the law requires it.
- We may change fees for future periods with notice; changes never apply retroactively to contracts already funded.

6. Contracts and work
The contract between a client and talent sets out the scope, deliverables, rate, schedule, revision allowances and intellectual-property treatment of that engagement. Magasaka is not a party to that work contract. We are not an employer, staffing agency, recruitment agency or joint venturer of either side, and nothing in these terms creates an employment relationship.
Each side is responsible for what it promises in the contract: talent for delivering as agreed, clients for funding, reviewing and paying as agreed.
7. On-platform payments and protection
- Contracts are funded on-platform before work begins and funds are released according to the contract's release rules.
- Payments are collected and moved by regulated third-party payment providers under their own terms. We are not a bank, a custodian or a funds-holding service — we never take possession of your money. Where a provider's rules limit what we can do, those limits apply.
- If something goes wrong, disputes follow a neutral three-stage process with an independent appeal, and release of funds still on-platform can be paused while it runs.
- We do not promise that every dispute results in a full refund, and we make no guarantee about work outcomes. What we do commit to is the process: funded engagements, published rules, and a review you can appeal.
- Paying or getting paid outside the platform to avoid fees is not allowed, and removes your access to the protections above.
8. Acceptable use
You agree not to: harass, threaten or discriminate against anyone; misrepresent your identity, skills or authority; post fraudulent, misleading or illegal work; attempt to move payments off-platform; scrape or resell platform data; upload malware or infringe intellectual property; or use the platform to break any law that applies to you. We may remove content, suspend accounts or end access when these rules are broken, and we provide a way to appeal.
9. Intellectual property
You keep ownership of what you own: your profile, portfolio, messages and content remain yours, and you grant us the licence we need to operate the marketplace and to display your public profile as you have chosen. Ownership of work product is set by each contract (including what happens with partial payment, cancellation or disputes); pre-existing tools, templates and third-party or open-source assets remain under their own licences. The Magasaka name, brand and platform software belong to us.
10. Confidentiality
Both sides agree to keep the other side's confidential information private — business plans, customer data, pricing, credentials and unpublished work — and to use it only to perform the engagement. Where a contract requires it, client data is returned or deleted at the end of the engagement, subject to records we must keep.
11. Disputes, law and venue
Disputes between users run through the platform's neutral process first, with an independent appeal. Disputes with Magasaka are governed by the laws of the State of Delaware, USA. The final version of these terms states the exclusive venue and any pre-action steps (for example mediation) chosen by counsel; we will not apply a change to a dispute that started before the change.
12. Suspension and termination
You can close your account at any time. We can suspend or end access where these terms are broken, where the law requires it, or where keeping an account open would expose other users to risk. Obligations that should survive — confidentiality, intellectual property, outstanding payments, dispute obligations — survive closure.
13. Liability
We provide the platform "as is" and do not warrant that it will be uninterrupted or error-free. To the extent the law allows, our liability is limited to the fees you paid us in the period giving rise to the claim. Nothing in these terms limits rights or liabilities that cannot be limited under applicable law.
14. Changes to these terms
We will notify you of material changes before they take effect, and we publish versions with dates. Continuing to use Magasaka after a change means you accept it, and existing funded work keeps the terms it was funded under.
